What investment services and advice can you provide me? | SIA offers software-based investment advisory services to retail investors (“clients’) in the U.S. through a subscription program available through our mobile and desktop apps. We provide options for managing retirement assets through technology which enables clients to invest in a selection of model portfolios based on individual goals. The model portfolios, including the securities underlying the model, will be constructed and maintained by SIA. The models and the securities underlying the models will be recommended on the basis of the relevant risk tolerance, diversification, income, and life stage needs of the client based on your responses to a client profile questionnaire. We do not have discretionary authority to make investments on your behalf. What fees will I pay? | SIA anticipates charging a flat-fee to clients for access to the investment management services. The maximum fee is $360 per year. This fee is inclusive of all brokerage and transaction fees associated with the investing and rebalancing of the account. The management fee will be charged monthly in advance at a rate of 1/12 the total fee agreed with each client. We reserve the right to negotiate fees with individual clients and may offer incentives or discounts to clients based on specific factors, such as the size of the investment, the length of the relationship, the client’s engagement with SIA’s affiliates, etc. We also charge a “custody fee” to all clients equal to the actual cost of an annual audit of the account by a PCAOB registered accountant. We do not charge a termination fee. We do not charge a performance fee. Clients will also be responsible for certain fees and expenses charged by DriveWealth, LLC (“DriveWealth”), a registered broker-dealer with the SEC, including return check and wire fees, telephone assisted trading fees, fees for hard copy trade confirmations and account statements, tax document fees, all charges associated with electronic asset transfers into or out of the accounts, among others. You will pay fees and costs whether you make or lose money on your investments. Fees and costs will reduce any amount of money you make on your investments over time. What are your legal obligations to me when acting as my investment adviser? How else does your firm make money and what conflicts of interest do you have? | When we act as your investment adviser, we have to act in your best interest and not put our interest ahead of yours. At the same time, the way we make money creates some conflicts with your interests. You should understand and ask us about these conflicts because they can affect the investment advice we provide you. An example to help you understand what this means includes that the way we make money, a subscription fee, is not tied to your overall performance. How do your financial professionals make money? | Our financial professionals receive a salary and bonus from SIA based on their job performance and the performance of SIA. |
